Eligibility

You must have the legal capacity and authority to enter into these Terms, and your access to and use of the Website must not be prohibited under any applicable law, regulation, sanction or legally binding restriction. You must not access or use the Website if you are located in, organised in, or ordinarily resident in a jurisdiction where such access or use would be unlawful, if you are subject to sanctions administered by a competent governmental authority, or if your access would cause the Company to violate applicable law. Subject to your compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Website solely for your internal lawful business purposes. No right, title or interest in the Website, the Content, the Documentation or any Services is transferred to you. All rights not expressly granted are reserved by the Company and its licensors.

Acceptable use

You shall not, and shall not permit any third party to:

  • use the Website in any unlawful, misleading, fraudulent, abusive, defamatory, infringing, discriminatory or otherwise objectionable manner, or in violation of any applicable law, sanctions regime, export control rule, privacy law, biometric law or industry-specific compliance obligation;

User Materials and communications

Where you submit User Materials, you represent that they are accurate, that you own or control the necessary rights to submit them, that their submission and our handling of them will not infringe third-party rights or violate applicable law, and that, where personal data is included, you have an appropriate lawful basis for the disclosure. You grant the Company a non-exclusive, worldwide right, without payment of royalties, to host, store, copy, use, transmit and otherwise process User Materials solely to operate and develop the Website and underlying software, respond to your requests, evaluate potential business opportunities, provide requested demos, trials, support or onboarding, comply with applicable law and enforce these Terms.

Unless agreed otherwise in writing, ideas, comments and feedback you provide about the Website or the Services are non-confidential and may be used by the Company without restriction or compensation. By contacting the Company you agree that it may communicate with you about your request and about security, onboarding, support, legal and other administrative matters. Marketing communications are sent only where permitted by applicable law or with the required consent, and may be withdrawn in accordance with applicable law.

Privacy and data protection

The Company processes personal data collected through the Website in accordance with the Privacy Policy and applicable data protection law. Where you provide personal data to the Company, you are responsible for ensuring that the disclosure is lawful and that all required notices, consents and permissions have been obtained.

Unless otherwise agreed in writing, you must not upload production datasets, special category data, biometric data, confidential data, regulated data or any third-party data to a trial, sandbox, developer or demo environment that is not specifically designated and contractually approved for that purpose. The interactive tour on this Website runs in your browser on sample data and does not collect any data. Any production use of the Services involving personal data, biometric data, identity verification data or screening data is subject to a separate written agreement and, where required, an appropriate data processing agreement.

Intellectual property

The Website, the Content, the Documentation and all intellectual property rights in them are and remain the exclusive property of the Company and its licensors, including copyrights, database rights, trademarks, logos, trade names, domain names, software, APIs, SDKs, interfaces, know-how, designs and page layouts. No use of the Company's name, logo, trademarks or branding is permitted without the Company's prior written consent, except as strictly necessary to identify the Company in a truthful and non-misleading manner.

Third-party content

The Website may contain links to third-party websites, platforms, tools or services for convenience only. The Company does not control and is not responsible for any third-party content, products, services, policies or practices, and your use of them is at your own risk and subject to the relevant third party's terms.

Evaluation access

The Company may, at its sole discretion, grant access to a trial, proof of concept, pilot, beta feature, sandbox, developer portal, test environment, sample integration or API key ("Evaluation Access"). Evaluation Access is provided solely for internal testing and assessment and not for production use or reliance in connection with any legally significant decision unless expressly approved in writing. The Company may modify, suspend, limit or withdraw Evaluation Access at any time. Additional click-through, technical or program-specific terms may apply and prevail in case of conflict. Outputs generated in connection with Evaluation Access are for evaluation purposes only, may contain errors, false positives, false negatives or omissions, and must be independently assessed by you before any operational, legal, compliance, business or security use.

Informational nature, no professional advice

The Website and all Content are provided for general informational purposes and do not constitute legal, regulatory, compliance or other professional advice, a guarantee of service availability, performance, suitability or commercial outcome, or a commitment by the Company to provide any Services on particular terms. Pricing indications, product descriptions, technical specifications, implementation timelines, use cases and compliance references on the Website are illustrative and may be changed or superseded at any time. You are responsible for your own legal, regulatory, technical, security and commercial assessment before relying on any information or entering into a relationship with the Company.

Disclaimer of warranties

To the maximum extent permitted by applicable law, the Website, the Content, the Documentation and any Evaluation Access are provided on an "as is" and "as available" basis. The Company disclaims all representations and warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, operation without errors, accuracy, completeness or reliability of content or outputs, compatibility with your systems, and compliance with your specific legal, regulatory or business requirements.

Limitation of liability

To the maximum extent permitted by applicable law, the Company and its shareholders, affiliates, officers, directors, employees, agents, licensors, subcontractors and representatives shall not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profits, revenue, business opportunity, goodwill or data, business interruption or procurement of substitute services, arising out of or in connection with these Terms or your use of the Website.

The aggregate liability of the Company arising out of or in connection with these Terms or the Website shall not exceed the greater of the total amount, if any, paid by you to the Company specifically for the use of the Website during the 12 months immediately preceding the event giving rise to the claim, and USD 100. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

Indemnity

You shall indemnify, defend and hold harmless the Company and its affiliates, officers, directors, employees, agents, licensors, subcontractors and representatives from and against any and all claims, demands, actions, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your use of the Website, your User Materials, your violation of applicable law or third-party rights, or your misuse of any trial, sandbox, portal, API, documentation or output.

Suspension and termination

The Company may suspend, restrict, disable or terminate your access to the Website or any part of it immediately, with or without notice, if you breach these Terms, if the Company reasonably suspects unlawful, fraudulent, abusive or high-risk activity, if required by applicable law or a competent authority, if necessary for security, maintenance, integrity or operational reasons, or if the Company decides to discontinue the Website or any part of it. You may stop using the Website at any time. Clauses which by their nature should survive suspension or termination survive.

Governing law and dispute resolution

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The parties shall first seek to resolve any dispute through good-faith negotiations. If the dispute is not resolved within 30 calendar days after written notice of the dispute is given by one party to the other, it shall be submitted to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. Nothing in these Terms prevents the Company from seeking interim, injunctive, conservatory or equitable relief in any court of competent jurisdiction where necessary to protect its rights, confidential information, systems, intellectual property or legitimate interests.

Changes to the Terms

The Company may amend, update or revise these Terms from time to time. The updated version becomes effective upon publication on the Website, unless a later effective date is stated. Your continued access to or use of the Website after the effective date constitutes acceptance of the revised Terms.

Miscellaneous

These Terms are the entire agreement between you and the Company with respect to the Website and supersede all prior understandings on that subject matter. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. No failure or delay in exercising a right operates as a waiver. You may not assign or transfer your rights or obligations without the Company's prior written consent; the Company may assign them to an affiliate or as part of a corporate reorganisation, merger, acquisition, transfer of business or sale of assets. These Terms may be accepted electronically. Headings are for convenience only. The English language version prevails over any translation.
